Canton Strategic Holdings plans to bring its Nasdaq-listed common stock onto Canton Network through TSV LLC, with trading expected to begin as early as **Monday, November 2**.

The company, which trades under **CNTN**, [announced the agreement on October 29](https://www.cantonstrategic.com/news/canton-strategic-holdings-announces-intent-to-become-first-tokenized-u-s-equity). Fairmint will handle the issuer-sponsored tokenization, while TSV would provide the trading venue using the Tradecraft protocol.

The plan would give eligible investors a way to trade the company’s equity on the same network in which it operates. CNTN is company stock, separate from Canton Coin. Trading has not started: [TSV’s website](https://www.tokenizedstockvenue.com/) still describes the venue as preparing for launch.

## Who issues the shares and records ownership?

Fairmint TA LLC, Fairmint’s [SEC-registered transfer-agent subsidiary](https://www.fairmint.com/onchain-transfer-agent/), would issue the tokens, maintain the official onchain ownership record and administer compliance on transfers. Canton Strategic says holders would receive the same rights and privileges as holders of its stock through Nasdaq.

A transfer agent keeps the issuer’s shareholder records and processes authorised ownership changes. Here, the company is sponsoring the tokenization itself. The intended product is its shares recorded onchain, with shareholder rights attached, rather than an instrument that merely tracks CNTN’s price.

TSV’s [public notice](https://www.tokenizedstockvenue.com/notice.html) says it will review equivalent rights, including dividends, voting and corporate-action treatment where applicable, before admitting a stock.

TSV updated that notice to version 1.3 on October 29, naming CNTN as the planned stock and Fairmint TA as its transfer agent. That adds specific participants to the venue’s earlier launch plans.

The company describes the planned debut as intended to be the first of its kind under the SEC’s new framework. That remains an ambition ahead of the first trade.

![Planned CNTN structure: Canton Strategic authorizes the tokenization, Fairmint TA handles issuance and ownership records, and TSV provides trading through Tradecraft pools with atomic settlement on Canton.](https://pnyaxwohgkgczwuvbaqg.supabase.co/storage/v1/object/public/article-images/articles/2026-10-29-cntn-shares-121f284dfc40-cntn-structure.png)The planned roles of issuer, transfer agent and trading venue. Trading is expected as early as November 2 and has not started. ## What the SEC exemption allows

The regulatory basis is the SEC’s [September 17 Innovation Exemption](https://www.sec.gov/files/34-106402-fact-sheet.pdf). It grants temporary, conditional relief from the Exchange Act’s definition of an exchange for qualifying tokenized-securities venues using automated market makers and liquidity pools. Certain liquidity providers receive separate conditional relief from the definition of a dealer.

The framework runs for five years from publication. It requires equivalent shareholder rights, limits on symbols and trading volume, public disclosures and auditable, public smart contracts deployed on a public, permissionless ledger.

TSV LLC appears on the [SEC’s notification list](https://www.sec.gov/about/divisions-offices/division-trading-markets/innovation-exemption), with a submission dated September 23. The SEC explicitly says inclusion does not establish that a venue meets the exemption’s conditions. TSV also states that it is not SEC-registered for the activities it performs under this exemption.

There are two different notice requirements. Under the [SEC order](https://www.sec.gov/files/rules/exorders/2026/34-106402.pdf), a venue must publish its operating notice at least 30 calendar days before opening. Separately, stock tokenized by an unaffiliated third party requires notice to the issuer and a 30-day opportunity to object. Issuer-sponsored tokenization addresses that second process; it does not remove the venue’s other conditions.

We [covered TSV’s revised disclosures](https://cantonnews.org/canton-roundup-tsv-s-revised-notice-ekiden-s-return-and-fluvia-s-application) in our October 25 roundup. TSV maintains that Canton meets the public, permissionless-ledger condition by distinguishing the underlying network from access controls inside its application. That is the venue’s stated position, rather than a separate SEC determination about its architecture.

## How trading would work

TSV would use Tradecraft’s automated market maker software, developed by Obsidian Software LLC. Traders would buy and sell against assets supplied to a liquidity pool, with the pool’s rules determining execution prices and available amounts.

That differs from placing an order and waiting for another investor’s matching order. The price available depends on liquidity, the trade’s size, fees and the pool’s parameters. TSV’s notice says prices outside conventional market hours can differ materially from the stock’s last conventional-market price.

Settlement is designed to be atomic on Canton: the shares and payment transfer together, or neither transfer completes. This removes a gap between the two deliveries; it does not guarantee a buyer, a resale price or deep liquidity.

The venue is designed for 24/7 availability, subject to trading stoppages, maintenance, risk controls and volume limits. Retail and institutional investors may be eligible, but participants and their wallets must pass approval checks, including identity verification and sanctions screening. Holding a Canton wallet alone would not grant access.

## Where it fits in Canton’s securities market

Canton Strategic already has operating exposure to the network. Its [second-quarter results](https://cantonnews.org/canton-strategic-reports-1-5-million-in-second-quarter-revenue) recorded revenue from Super Validator operations and a service that locks company-owned CC for other participants. The new agreement would make its own equity another asset traded on Canton.

TSV’s proposed pool market is separate from [Tradecraft ATS](https://cantonnews.org/tradecraft-ats-plans-a-canton-market-for-tokenized-securities), the order-book venue Texture Capital plans to operate using Obsidian technology. Sharing technology and a network does not make them the same venue or regulatory route.

The announcement also follows [DTCC’s October 28 service launch](https://cantonnews.org/dtcc-s-tokenization-service-goes-live-on-canton-and-besu). DTCC’s service creates tokenized entitlements to securities held at DTC. This CNTN plan instead centres on issuer-sponsored shares, Fairmint’s ownership records and trading through TSV under the Innovation Exemption.

For the proposed November 2 start, the concrete milestones are publication of the production pool details, approved investor access, funded pools and completed trades. Those will establish whether the announced route has become an operating market.
